A termination clause means something different next to a two year auto-renewal. Every clause is read against the rest of the document, which is why the flags come back ranked rather than listed.
Not 'this clause is unusual'. Miss this date and you owe $68,400, and the date is December 3, 2027. The arithmetic is done with the numbers in your contract.
Thirty to sixty days is the usual notice window. Twelve months of fees is the usual liability cap. Knowing a clause is off only helps if you know where the market sits.

The read
This is a two-year managed IT agreement that renews for another two years unless you cancel ninety days early, and it puts almost all of the risk on the practice. Before signing, get the renewal down to twelve months, get the liability cap up from one month of fees to twelve, and make the indemnity mutual. Those three changes are worth more than everything else in the document combined.
What it reads
